BYLAWS

Bylaws are internal documents drafted by the nonprofit and explains how the nonprofit is operated on a day to day basis. Bylaws are important for maintaining structure within the nonprofit, and every business is require to have such internal document. The name varies state to state [ bylaws, operating agreement, charter agreement, etc], but all internal documents have similar information such as:

  • Name of corporation
  • meeting structures
  • number of directors
  • special committees
  • corporate seal
  • execution of documents
  • dissolution
  • stock/member certificates
  • officers of the corporation
  • certification
  • signatures
